Segment 1 (00:00 - 05:00)

so openi have recently announced some changes this is breaking news and they just said that we have unanimously concluded that Sam and Greg are the right leaders for openai Brett Taylor the chair of the open board so openi has come to a decision that is going to change the open AI board once again this is breaking news and you can see right here it says the special Committee of the open AI board has announced that the completion of the independent review into November's event if you remember no November when Sam Alman was fired there was quite a decent amount of information that was going on and there was a lot of speculation but it seems that the investigation has wrapped up and now the board has changed once again and it seems that Sam Alman and Greg Brockman are going to be back for the board in open AI so let's take a look at what changes were made what the investigation undercovered and everything that is there so it says here review completed Altman Brockman continue to lead open Ai and new board members named and enhancements to the governance structure is introduced it states that the special Committee of the open ey board today announced the completion of the review by Wilmer Hill firm conducted dozens of interviews with members of openai's Prior board openai Executives advisers to the prior board and other pertinent Witnesses and they reviewed more than 30,000 documents and evaluated various corporate actions based on the record developed by Will Mel and following the recommendation of the special committee the board expressed his full confidence in Mr Alman and Mr Greg brookman's ongoing leadership of openai so that show tells us that whatever investigation was done here they've decided that whatever happened it seems that based on the record that they've developed and based on the recommendation by the special committee they've basically given Sam Alman and Greg Brockman the whole lead to you know be on the board and continue to lead openi now essentially there is a new board so they said we've unanimously concluded that Sam and Greg are the right leaders for open AI That's What Brett Taylor said who the chair of the board which essentially the lead and then Sam Alman will you know the CEO will actually rejoin the open AI board of directors which is actually quite interesting because I mean previously the CEO wasn't on the board so I mean I guess this is going to be kind of fascinating to see how this develops and then it also does say that the openi board also announced today that the election of three new board members as one part of its commitment to the expansion including so take a look at the new board members so it says here and there's a lot of drama in this video cuz you know the story is far from over and it says here the open ey board also announced today the election of three board members as one of us inpan including Dr Sue Desmond Helman which is the former CEO of the Bill and Melinda Gates Foundation and on the board of directors at fiser and on the president's Council of advisers on Science and Technology Nicole saligman the former EVP and Global General Council of Sony and president of Sony Entertainment and on the board of directors at Paramount Global and some other top companies and of course fidd Simo CEO and chair of instacart and the board of directors at Shopify so these are some really high level board members that have been around for quite some time and you can see that these are people with vast experience in a number of different fields which makes them perfect for this new board now in addition there's actually the existing board which has actually changed a little bit and you can see right here the new members have experience in leading Global organizations and navigating comple regulatory environments including backgrounds in technology nonprofit and board governance they will work closely with current board members Adam D'Angelo Larry Summers and Brett Taylor as well as Greg Sam and open AI senior manager Taylor further stated that as chair of the board I'm excited to welcome Sue Nicole and fidy to the openi board of directors and their experience and Leadership will enable the board to oversee open ai's growth and to ensure that we pursue open ai's mission of ensuring artificial general intelligence that benefits all of humanity I think the board is going to be interesting now because the board also does have Adam D'Angelo Larry Summers and Brett Taylor as well as Greg and Sam so things are getting back to normal and it does say and oppi Senior Management and I was actually wondering if they were going to mention elas satak because he was actually one of the members of the board previously so I'm guessing him not coming back maybe there's something there of course I don't want to you know spread speculation about that you know Ilia SATA has been you know they' pretty much had no comment to say even when asked in interview about IIA satova so I'm guessing whatever is going on with IIA satova they just really don't want the public to know so any speculation is just speculation like we literally have no idea and literally I can't really say anything about that I can't say he that means he's in I can't say that means he's out because there literally no information on the internet but at the end of the day we will have to see now the new board also announced the adoption of important improvements to opening eyes governance structure and it says key enhancements include adopting a new set of corporate governance guidelines which include strengthening opening eyes conflict of interest policy and creating a whistleblower hotline to serve as an anonymous reporting resource for all openai employees and contractors and creating additional board committees including a mission and strategy committee focused on and advancement of

Segment 2 (05:00 - 10:00)

the core Mission so essentially they've got a new governance structure which will CU I'm not sure show us that but it would be interesting to see how that actually does work in terms of how these decisions are made and one of the things that they also did talk about which I found was really interesting was that they said creating a whistleblower hotline to serve as an anonymous reporting resource for all open AI employees and contractors so I'm thinking how is that going to work because if they have a whistleblower hotline to Serv as Anonymous reporting servers for all how does that work so I'm guessing if something happens at open ey do the openi employees report it to the board anonymously so that way people know I mean it's really going to be fascinating and I would like some knowledge on that in addition they state that the expanded board will prioritize its crucial work to enhance the governance procedures to best achieve open ai's Mission recognize the magnitude of our role in shuing transformative Technologies for the global good added Taylor and the special Community acknowledged the important work done by Will male conducting this asensor review and thanks openai current and former board members advisers and employees for their cooperation special Committee of open boards directors released a summary of their findings and we're going to get into that in a moment because there's actually still a lot more to discuss but they say that you know the part that I highlighted there was that we recognize the magnitude of our role in St transformative Technologies for the global good so they really understand that like look this is a really big deal and they are not dealing with something small this is really l so I'm guessing that one of the things that they're going to make sure does happen with the board now is that AIA actually does benefit Humanity because I'm guessing whatever was going on before they probably thought it wasn't going to so um another thing as well was that it says you know and this is essentially the summary of the entire investigation and they said that will Mel found that the prior board believed at the time that its actions would mitigate internal management challenges and did not anticipate that its actions would destabilize the company so I'm guessing the board previously didn't believe that you know what they were doing would actually put the company in the gutter and in the bin but I do remember that some board members were actually stating that if openi did cease to exist that would have been better for Humanity so I mean I'm not sure how you know true that statement is but then again uh there were a lot of different board members going out and it was really a time to be able to be even keeping up to date with everything going on and it does say Wilmer Hal also found that the prior board's decision did not arise out of concerns regarding product safety or security case of development open eyes finances or its statements to investors customers or business partners instead it was a consequence of a breakdown in the relationship and loss of trust between the prior board and Mr Alman and I want to say again that is the most vaguest thing I've ever heard ever because these guys really just don't want and I genuinely have no idea it's clear that I don't think we're ever going to get this reason but them just stating you know breakdown in trust this is just super vague but they said that the board's decision did not arise out of concerns regarding product safety or the pace of development so either the board is stating that you know it wasn't out of fear safety but then why did Reuters state that you know people wned Bo of an artificial intelligence disruption that could affect Humanity going on there so I'm guessing the openai are trying to prevent those kind of things from going on side of the company like they're trying to prevent people from going to organizations and having anous hot lines and that's why they want I mean it kind of makes sense files open I would I mean I think the government structure is probably going to change again because like I said I think open AI over time is company anymore I think it's going to be highly regarded because what they are working on if it is and as some people have stated if it is as powerful as nukes um I think it's going to still again get that kind of security level and I think there will be security clearances and you know how previously we do get leaks and stuff like that I do think that in the future that stuff just isn't going to happen at all because I mean we don't get leaks about what's going on in the Pentagon I mean we do from whistleblowers but they would get caught so I think you know in the future the board's going to change again because guys you have to understand that this is just some of the most powerful Tech and I think in the future um the world will realize it and then things will probably have to change again but never know at the end so that's just what I want to said that you know wasn't regarding safety security or the pace of development finances so yeah um and of course says Wilmer found that the board acted within its broad discretion to terminate Mr Alman but also found that his conduct did not mandate removal so they're basically saying that what he did didn't mandate removal so I mean you know it's kind of interesting okay um and then what we also see here says after reviewing theale findings the special committee recommended to the full board that it endorsed the November 21 decision to rehire Mr Alman and Mr Brockman with knowledge of the review findings the special committee expressed its full confidence in Mr Alman and in Mr brockman's ongoing leadership of and that special committee is pleased to conclude this review and looks forward continuing with the important work of open so it's clear that you know things are going back on track but there is actually a lot more information was tweeted around this time I found to be rather fascina I'm going to show you guys those tweets now because those are tweets by Sam Alman Mira moratti someone that did work on the board and they said something that kind of concerned me they didn't really say much more than that so let's take a look first of course um at Mira moratti statement so she said

Segment 3 (10:00 - 15:00)

government of an institution is critical for oversight stability and continuity I am happy the independent review has concluded we can allmed it has been disheartening to witness the previous board's efforts to scapegoat me with Anonymous and misleading claims in a large dis effort to save face in the media here is the message I sent to my team last night onward so if you aren't familiar with what Mira moratti is talking about here and Mir moratti is one of the senior open a ey essentially there was an article that came out and said um open AI Chief technology officer wrote a memo critical of Boss Sam alman's management style to the company's board of directors setting in motion a chain of events that led to his ala Accord to according to a report it says Miram moratti expressed her concerns to Alman directly before sharing her misgivings about leadership style with the company board according times M morati told the board members that Alman manipulated Executives to get what he says Alman would tell people charm them to go along with his plans I'm guessing um and it says you know Mira morti edly complained to the board before his firing okay and it also goes into State here and this is just the article it's not me saying this it says Alman would tell people that they wanted to hear charms they would go along his decisions but if those Executives didn't get on board with his plans or took too long to decide Alman would seek to undermine their credibility morati told the board morat's doubts about Alman were seconded by openai co-founder and chief scientist IIA satova who faulted the CEO for what he felt was mipa of behavior the times reported now want to say that this is of course coming from the times a company that does have a lawsuit with open a eyes so it is going to be a bit biased even if is factual and then it also goes to State here that both Miram morati and satova told the board about their turbulent relationship with Alman was fired in November only to be brought back days later after he won a power struggle that saw the place saids the board were concerned if they didn't take action against Mr Alman both morati and satova would leave the company and take loyalists with them to an exodus of employees according to the times Executives expressed support for alman's reinstatement as CEO despite their contention that he created toxic work environments and that he no descent from subordinates so this was something that was really crazy now of course like I said it's by you know the New York Times someone that does have a lawsuit but I did see this reported by several other news outlets as well but of course you can see here that m morati is stating that you has been disheartening to witness the previous board's effort to scap me with Anonymous and misleading claims in a lastage ever so I'm guessing that meati is stating that look this isn't really true and her statement here is that saying you know some of you may have seen a New York Times article about me and the old board I find and it frustrating that some people seem to want to cause chaos as we are trying to move on but to very briefly comment on the specific claims here Sam and I have a strong and productive partnership and I have not been shy about sharing feedback with him directly I never reached out to the board to give feedback about Sam however when the individual board members reached out directly to me feedback about Sam I provided it all feedback Sam already knew that does not in any way mean that I am responsible for all supported the old board's actions which I still find perplexing I thought their actions aggressively and we all work together to bring Sam back and I'm looking forward to get the Board review done got it behind us get back to work so it's clear here that you know the previous article what they're claiming memati is claiming that it's just out of context and times are just doing this lar disch attempt previous board members and I'm guessing that's going to be something for you guys as side that there was something I did just see that was just tweeted out not too long ago and this was by Helen Tona so if you don't remember Helen Tona was someone who was on the board for it wasn't even that long I'm not sure how long it was but it wasn't for that long but it says a statement from Helen Tona and Tasha MC these were board members that are no longer there these part of the old board members and then essentially that she says open ey's mission is to ensure that artificial general intelligence benefits all of humanity opening ey structure empowers the board to prioritize this Mission Above All Else including business interest okay and it says accountability is important in a company but it is Paramount when building a technology as potentially world changing guy we hope the new board does its job in governing open Ai and holding it accountable to the and here's the sentence that everybody is taking and thinking what on Earth do you mean by this they State okay as we told investigators deception manipulation and resistance to thorough oversight should be unacceptable there are many people doing great work at openi who wish them the new bord success and you know some people are like when are you going to tell us one and Earth this means you know the mission you know deception manipulation resistance through for oversight should be unacceptable so clearly the old board disagrees with what actually happened um and you know a lot of people are asking and they're saying you know might have been helpful to provide examples of how they've been deceptive and manipulative especially if you think we should be all be worried about it and so this is a statement that I think is rather fascinating because it's a statement that brings to the question what on Earth they see now I do know that you know whatever it is they did see you know we're never going to see the light of day or that because I guarantee you they signed ndas I guarantee if they come out stating something about Sam Alman or someone else it's going to be seen as slandering and I mean that's pretty fair that's compelling case so I mean I don't know what they saw that they thought was uh you know deception investig deception

Segment 4 (15:00 - 17:00)

manipulation and resistance to thorough oversight I have no idea it's apples and oranges so I guess I guess maybe there's an end to this story and the end is that you know um review has been completed and you know Alman has led back to the board I mean I don't know what your opinions are but I mean it's just fascinating to see both sides of this and you know so many statements going around there's literally so much to actually take note and into account but of course there was something that was really cool um I found this one really really fascinating so you know only around 3 to 4 hours after that you know Sam Alman did actually tweet you know in a response to Jimmy apples and Jimmy apples tweeted opening eyes nothing without his drama now that this is out of the way let's move on to the release already and then Sam mman said patience Jimmy it will be worth the wait so Sam Alman is funnily enough aware of Jimmy Apple's existence and we knew he was before but him actually responding to a tweet by Jimmy apples is just pretty hilarious because it's someone that I've referenced in videos before and I'm not saying I'm G in at all I'm just saying it's funny to see how for the Jimmy apples you know um personality SL online Persona online account whatever you want to call it as in terms of reach so it's just interesting that Sam Alman has actually twed that and I also saw this um statement for Sam Alman which shows us what's next so samman States I'm very happy welcome our new board members Fiji Sumo Sue Desmond Helman and Nicole saligman and continue to work with Brett Larry and Adam and I'm thankful to everyone on our team for being resilient and staying focused during challenging time in particular I want to thank Mera for a strong partnership and her drama since and in all the Quiet Moments where it counts and Greg plays a special leadership Ro without opening ey simply would exist being pches always sucks but it's much better than being there two of them I learned a lot from this experience and one thing I'll say now I believe the former board member was harming open AI through some of the actions I should have handled that situation more grace and care I apologize for this and I wish I had done it different a genuine belief in the getting a right um and I don't know who he's talking about here a lot of people inona we have no idea some people saying's someone else I literally have no idea I don't have any super TI right now anyway so I word for it but doesn't name drop anyone there but I'm guessing that it is someone board member probably do the maths anyways um but it does say we have important work in front of us and we can't wait so I'm guessing that you know like I said before they already have gp5 change so it will be interesting to see where things do go from here I mean what's next obviously I think G or gbt 5 is going to be next and based on what's happening but either way I think this is fascinating that the is kind of over I don't think we're going to get a final solution to this I think this vague statement is going to be the only thing we do get honestly like I think really understand what's going to be happening on and I think it's going to be the most that we get so you just have to take whatever it is they say I think that the new board definitely a diverse board in terms of
